  1. Board approves the program
  2. Company files an 8-K disclosing it (typically Item 8.01 "Other Events")
  3. SEC EDGAR receives and posts the filing
  4. Wire services and financial media pick it up
  5. The story hits stock-alert apps
  6. Retail investors see it in news feeds

Between step 3 and step 6 there's a window — usually 10 minutes to a few hours, sometimes days for smaller companies — where the information is technically public but not yet priced in by most participants. For small-caps with light analyst coverage, that window can matter.

How fast does a buyback announcement appear on SEC EDGAR?

8-K filings are posted to EDGAR within minutes of receipt during business hours. That's typically 10-40 minutes ahead of when wire services and news apps carry the story.

What SEC form should I watch for new buyback authorizations?

Form 8-K, Item 8.01 (Other Events) or occasionally Item 7.01 (Regulation FD Disclosure). Tender offers use Schedule TO. Quarterly execution appears in 10-Q Part II Item 2.

Can I filter EDGAR by company size?

Not directly on EDGAR itself — EDGAR filters by filer type and form. Market-cap filtering has to be done client-side by joining EDGAR filings against a market-cap dataset. BuybackStocks does this automatically.

What's the smallest buyback authorization worth watching?

For small-caps ($50M-$2B market cap), we set a minimum of 3% of market cap. Below that threshold, most authorizations are just offsetting stock-based compensation dilution rather than shrinking float.

Do all 8-K buyback announcements move the stock?

No. Mega-cap announcements are often already priced in from prior guidance. Small-cap first-time authorizations tend to move the stock more meaningfully, especially when accompanied by simultaneous insider buying.
